These Terms and Conditions ("Agreement") govern the participation of individuals and teams ("Hackers" or "Participants") in the Hack54 hackathon series, organized by Socialite AF Limited, The DSGN Junkies and assigns ("Organizer").
By registering for the event, you acknowledge that you have read, understood, and agreed to be bound by these terms.
1. Participation & Eligibility
Team Composition: To qualify for the competition, a participant must register as an individual or in teams of 2 or up to four (3) members.
Professional Conduct: Participants must adhere to the professional standards of the hackathon. Any attempt to sabotage other teams, engage in malicious hacking of event infrastructure, or violate the code of conduct will result in immediate disqualification.
Commitment: By registering, you confirm your availability for the full 48-hour sprint (HackDay) and, if selected as a winner, the subsequent Media Rounds and incubation activities including masterclasses, introductory meetups etc.
2. Right of First Refusal (ROFR)
Right of First Refusal: Participants grant the Organizer an exclusive Right of First Refusal (ROFR) to invest in, acquire, or partner with any winning project or team for a period of sixty (60) days following the conclusion of the event.
Restrictions: During this 60-day ROFR period, winning teams shall not enter into binding commercial agreements or seek funding from competing financial institutions without first offering the organizers the opportunity to match or improve upon those terms.
Talent Pipeline: Participants acknowledge that their registration information, CVs, and project performance metrics will be used by the organizer for talent sourcing and recruitment purposes.
3. Intellectual Property (IP)
Ownership: Subject to the ROFR mentioned in Section 2, all intellectual property, software, and code developed by the team during the 48-hour hackathon shall remain the property of the respective teams.
Limited License: Participants grant the Organizer and the Title Sponsor a non-exclusive, perpetual, royalty-free license to use, reproduce, and display project names, branding, and presentation materials for marketing and promotional purposes related to Hack54.
Pre-existing IP: Teams are prohibited from presenting pre-existing commercial products or plagiarized code. All solutions must be built within the 48-hour event window.
4. Judging, Prizes, & Media
Finality: The decision of the judging panel—which includes designated representatives from Partner organizations—is final and binding.
Winning Opportunities: Winners are entitled to cash prizes (Announced on episode page) and participation in the post-event PR tour.
Cash Prizes: Winners receive 60% of announced cash prize on pitch day and the final 40% on opening ceremony of the next episode.
Promotion: Winners agree to participate in media activities, and deal room pitches including the segments, to promote the event and the sponsoring brands.
Media Rights: All event recordings, photographs, and pitch materials are the joint property of the Organizer and may be used in future marketing campaigns.
5. Privacy & Data Protection
By participating, you consent to the collection and processing of your personal data as outlined in our Privacy Policy. This data is used strictly for the purposes of recruitment, sponsor reporting, and event-related communications.
6. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from this event shall be settled through good-faith negotiation between the Organizer, and the affected parties, failing which they shall be submitted to the competent courts in Accra.
